The Parties hereby agree as follows:

  1. SEARCA and (Partner Institution) have complementary objectives and a mutual desire to collaborate in a number of areas of common interest such as education, training, and research.

  2. In order to implement these complementary objectives, SEARCA and (Partner Institution) which are:
    • The SEARCA SEAMEO and its implementing Units;
    • The Indonesia Agency for Agricultural Research and Development (IAARD) and its implementing units.
  1. Area of collaboration are:
    • Collaborate in undertaking programs, projects, and other related activities whenever and wherever feasible opportunities present themselves.
    • Exchange scientific materials, publications, and
    • Providing resource person for scientific event.
    • Professional development short courses and international seminars for staff from IAARD.
    • Development of collaborative research projects in priority areas.
    • Execute separate arrangement in writing for any undertaking to be jointly implemented, wherein sharing of responsibilities shall be

 

  1. Both parties, subject to the availability of technical, personnel and resources, and mutually agreed-upon procedures, shall provide necessary resources based on the project proposal to be developed by both Parties.

 

  1. Protection of Intelectual Property Rights:
    • Any intellectual property brought by one Party for the implementation of this MoU shall remain the property of that Party.
    • Any intellectual property rights resulted from activities under this MoU shall be jointly owned and subject to separate and specific arrangements concluded between the Parties.
    • For the solely developed products (breeding materials, patent, PVP) should be registered with different kinds or types of intellectual property rights based on or related law or International Treaty.

 

  1. Genetic Resources and Traditional Knowledge:
    • The Parties shall recognize the value of genetic resources and traditional knowledge (GRTK), and recognize the rights of holders of GRTK to the effective protection over GRTK against misuse and misappropriation of both Parties. GRTK shall be protected against misuse and misappropriation in both Parties.
    • Any utilization of the Party’s GRTK under the implementation of this Memorandum of Understanding will be carried out through specific arrangements to be concluded by the Parties in writing.

 

  1. Publication:
    • The results of scientific research under this cooperation shall be informed to the Parties prior to joint publishing under the condition that both parties have agreed in advance upon disclosure to the public.
    • The personnel involved under this collaboration shall not disclose or publish any program information without the prior written approval of both Parties.
    • Data and information obtained during the research collaboration shall be made assessable by both Parties.

 

  1. Settlement of Dispute

Any difference or dispute arising out of interpretation or implementation of this MoU shall be settled amicably through consultations and/or negotiations between the Parties.

  1. This Memorandum of Understanding shall remain in force for a period of five (5) years from the date of execution of this MOU and may be modified or extended only with the written agreement of both Parties.
  2. All notices and other communications from either Party to the other shall be in English writing and shall be deemed received upon actual delivery or completed facsimile addressed to the other Party as follows:

  1. Each Party will advise the other of any change in its address, designated representative, or telephone or facsimile number.

 

  1. This MOU may be executed in several counterparts, each of which shall be deemed an original, and all such counterparts together shall constitute but one and the same instrument.
