Intellectual property (IP) Commercialization involves transforming intangible assets into tangible commercial benefits. This process can take many forms, depending on market dynamics, players involved, technology, and the type of IP.  Intellectual property (IP) is not just a legal asset – if used strategically, IP can level the playing field as a key driver for growth.

For deep-tech ventures and R&D-intensive companies, effective IP commercialization is critical. Without a clear path to market, even the most advanced technologies risk being underutilized. When done strategically, IP commercialization helps ventures grow faster, attract funding, and secure a long-term competitive advantage.

Going beyond protection means using IP to generate growth and maximize value. There are several ways to generate revenue from IP. When taking research from lab to market, ventures can opt for different forms of IP commercialization as described below.

IP in spin-off ventures

When a promising technology is developed within an R&D lab or university, transforming its IP into a market-ready solution can be a challenge. Launching a spin-off venture can be a solution to get a dedicated team to develop and commercialize breakthrough technologies.
These ventures get early access to valuable IP and are often led by the original inventors, swiftly adapting from R&D work to an agility to fundraise, collaborate and find product-market fit. In deep-tech ventures particularly, IP often becomes the foundation for equity of the new company — helping attract investors and align incentives for long-term sustainable growth.

IP licensing

Licensing intellectual property gives permission to other parties (licensees) to use intangible assets (patent, trademark, industrial design, trade secret) in return for royalties or fees, while the licensor (IP owner) keeps IP ownership.

An intellectual property license will provide details such as the scope of use, the geographic limitations, the duration and fees. An IP license can grant exclusive use, non-exclusive use (it can be used by multiple parties), or can be sub-licensed where the licensee grant rights to a third-party.

IP assignment

An intellectual property assignment consists in selling intellectual property rights (patent, trademark, industrial design, trade secret) completely and permanently transfers ownership from the assignor (IP owner) to the assignee often for an upfront payment.
By concluding an IP assignment, a company can secure ownership of work created by employees or consultants when work is outsourced. An IP assignment must clearly identify the IP, the scope of the transferred rights and define the compensation terms.

IP in franchising

IP franchising allows others to replicate a business model, including brand and methodologies, under specific terms.
Each option offers different levels of control and different rewards for the original IP owners. The right approach depends on individual business goals and stage of development.
When franchising intellectual property, the franchisor retains ownership of all IP, maintaining control over how IP is used. The franchisee has limited usage rights for the duration of the agreement and doesn’t own any of the brand, logos or systems and has no right to modify IP.

IP in joint ventures

IP commercialization often works best through partnerships. Strategic collaborations—like joint ventures, co-development deals, or supplier agreements—can accelerate product development, lower costs, and unlock new markets.

Understanding early how IP can affect these collaborations is essential to retain and maximize value. For example, clear terms around IP ownership, usage rights, and revenue sharing are essential. Particularly in complex industries like deep-tech, healthcare, energy, or software, the right partnerships can turn IP into market-ready solutions with impact.

Technology transfer

Technology transfer (TT) consists in sharing scientific findings, knowledge and intellectual property (IP) from universities and research institutions with public and private users to transfer inventions from the laboratory to the marketplace.
The inventor discloses research discoveries to a Technology Transfer Office that assesses the invention’s commercial potential and patentability and negotiates a technology transfer agreement.
