Pursuant to Law n° 005/2008 of 14/02/2008 on
arbitration and conciliation in commercial matters;

CHAPTER ONE : GENERAL PROVISIONS
Article One : Purpose of this Law
This Law establishes the Kigali International
Arbitration Centre. It determines also its
organisation, functioning and competence.
Article 2: Definitions of terms
In this Law, the terms hereinafter listed shall have
the following meanings:
“ Board of Directors ” : the supreme organ of the
Centre entrusted in making decisions;
“Centre”: Kigali International Arbitration Centre ;
“Committee” : Advisory Committee of Kigali
International Arbitration Centre;

CHAPITRE PREMIER : DISPOSITIONS
GENERALES
Article premier : Objet de la présente loi
La présente loi porte création du Centre
International d‟Arbitrage de Kigali. Elle
détermine aussi son organisation, fonctionnement
et sa compétence.
Article 2 : Définitions de termes
Aux fins de la présente loi, les termes repris ci-
après ont les significations suivantes :
« Conseil d‟Administration » : organe suprême
du Centre investi du pouvoir de décision ;
« Centre » : Centre International d‟Arbitrage de
Kigali ;
« Conseil » : Conseil Consultatif du Centre
International d‟Arbitrage de Kigali;

Ingingo ya 4 : Inshingano z‟Ikigo
Ikigo gifite inshingano zikurikira :
1º gutanga uburyo bwo gukemura impaka
hakoreshejwe ubukemurampaka
n‟ubundi buryo bwo gukemura impaka;
“Financial year”: a period of twelve consecutive
months from 1 st
July to 30 th
June;
“Secretary General”: the chief manager of the
Centre.
CHAPTER II : ESTABLISHMENT OF THE
CENTRE
Article 3: Establishment of the Centre
There is hereby established the Kigali International
Arbitration Centre located in the City of Kigali, the
Capital of the Republic of Rwanda. The Centre
may have branches abroad.
The Centre shall have legal personality, financial
and administrative autonomy.
CHAPTER III: ATTRIBUTIONS AND
COMPETENCE OF THE CENTRE
Article 4: Attributions of the Centre
The Centre shall have the following attributions :
1º to provide a forum for the resolution of
disputes through arbitration and other

Capitale de la République du Rwanda. Le Centre
peut avoir des agences à l‟étranger.
Le Centre est doté de la personnalité juridique et
d‟une autonomie financière et administrative.
CHAPITRE III : ATTRIBUTIONS ET
COMPETENCE DU CENTRE
Article 4 : Attributions du Centre
Le Centre a les attributions suivantes :
1º fournir un cadre pour la résolution des
conflits à travers l‟arbitrage et d‟autres

6º gufatanya no gukorana n‟ibindi bigo
cyangwa imiryango bifite intego zimwe ;
7º kwemerera abanyamuryango gukora
nk‟abakemurampaka cyangwa abunzi mu
gukemura impaka zo mu gihugu n‟impaka
mpuzamahanga;
8º guteza imbere igihugu mu karere no ku
rwego mpuzamahanga nk‟ahantu h‟ihuriro
alternative dispute resolution;
2º to promote the resolution of disputes by
arbitration and alternative dispute
resolution;
3º to promote opportunities for educating the
public through the media, delivering of
lectures, holding of seminars on the subject
of arbitration and alternative dispute
resolution;
4º to publish or assist in the publication of
proceedings of the Centre, of books,
articles and papers on arbitration and
alternative dispute resolution;
5º to sponsor study and research in arbitration
and alternative dispute resolution and
provide fellowships, grants to deserving
applications;
6º to affiliate and co-operate with other
centres, or organizations which have
similar mission;
7º to provide accreditation for members of the
Centre to act as arbitrators or mediators in
resolving domestic and international
disputes;
8º to promote the country regionally and

de résolution de conflits et octroyer de l‟
aide aux demandeurs qui les méritent ;
6º s‟associer et coopérer avec les autres
centres ou organisations ayant la mission
similaire ;
7º admettre ses membres à avoir la qualité
d‟arbitre ou de médiateur dans la
résolution des conflits tant nationaux
qu‟internationaux;
8º promouvoir le pays au niveau régional et

Ingingo ya 5: Ububasha bw‟Ikigo
Ikigo ni cyo cyonyine gifite ububasha bwo
gukemura impaka zo mu rwego rw‟ubucuruzi mu
Rwanda n‟ibijyanye nabwo bivugwa muri iri
tegeko.

9º to provide facilities and assistance
necessary for the conduct of domestic and
international arbitration;
10º to encourage domestic arbitration as a
means of settling commercial and business
disputes;
11º to advise the government on matters
related to arbitration;
12º to maintain adequate, accurate and timely
records of proceedings made in arbitration
and to keep safely such records;
13º to perform such other function as the
Centre may determine in furtherance of the
Centre‟s mission.
Article 5: Competence of the Centre
The Centre is the only competent agency for
arbitration on matters related to trade in Rwanda
and other matters related to it as stipulated in this
Law.

Article 5: Compétence du Centre
Le Centre est le seul organe habilité à faire
l‟arbitrage dans le domaine du commerce au
Rwanda et autres domaines connexes stipulés
dans la présente loi.

1° abantu batandatu (6) bashyirwaho
n‟Ihuriro Nyarwanda ry‟Abikorera;
2° umuntu umwe ushyirwaho na Minisitiri
ufite Ubutabera mu nshingano ze.
Inama y‟Ubuyobozi yitoramo Perezida

CHAPTER IV: ORGANISATION AND
FUNCTIONING OF THE CENTER
Article 6: Management organs of the Centre
The Centre shall comprise the following organs:
1° The Board of Directors;
2° The General Secretariat;
3° The supporting organs.
Article 7: Board of Directors
The Board of Directors is the supreme body of the
Centre.
The Board of Directors is made of seven (7)
members:
1° six (6) members appointed by the Rwanda
Private Sector Federation;
2° one (1) member appointed by the Minister
in charge of Justice.
The Board of Directors shall choose among its
members a Chairperson and a Deputy Chairperson.
Members of the Board of Directors shall be
persons of high integrity and demonstrated
experience in matters relating to international or
domestic arbitration, conciliation and settlements

FONCTIONNEMENT DU CENTRE
Article 6 : Organes de gestion du Centre
Le Centre comprend les organes suivants :
1° Le Conseil d‟Administration ;
2° Le Secrétariat Général ;
3° Les Organes d‟appui
Article 7 : Conseil d‟Administration
Le Conseil d‟Administration est l‟organe suprême
du Centre.
Le Conseil d‟Administration est composé de sept
(7) membres :
1° six (6) membres nommés par la
Fédération Rwandaise du Secteur Privé ;
2° un (1) membre nommé par le Ministre
ayant la Justice dans ses attributions.
Le Conseil d‟Administration choisit en son sein
un Président et un Vice- Président.
Les membres du Conseil d‟Administration sont
des personnes de grande intégrité
qui font preuve d‟expérience en matière
d‟arbitrage international ou national, de

Article 8: Term of office of members of the
Board of Directors
Members of the Board of Directors shall hold
office for a period of six (6) years renewable once.
Without prejudice to Paragraph One of this
Article, the Private Sector Federation of Rwanda
may, if necessary, terminate the term of office of a
member of the Board of Directors if in its opinion,
such member is not fit to continue in office or has

member of the Board of Directors.
Members of the Board of Directors present in its
meetings shall be entitled to sitting allowances as
the Private Sector Federation of Rwanda may
determine.
Article 9: Reasons for ineligibility as member of
the Board of Directors
A person shall be ineligible for appointment to be
a member of the Board of Directors if:

remplir ses fonctions en tant que membre du
Conseil d‟Administration.
Les membres du Conseil d‟Administration ayant
participé en ses réunions bénéficient des jetons de
présence fixés par la Fédération Rwandaise du
Secteur Privé.
Article 9 : Motifs d‟inéligibilité en tant que

Une personne n‟est pas éligible à la qualité de

1° he/she been declared bankrupt under the
law of any country;

public faith as provided for by the rwandan
penal code;
4° it is noticed that he/she has financial
interest or any other type of interest in a
given agency, which is likely to affect the
smooth discharge of his/her functions as a
member of the Board of Directors.
Article 10 : Reasons for leaving the membership
of the Board of Directors
A member of the Board of Directors shall leave
such an office if:
1º his/her term of office expires;
2º he/she resigns by written notification;
3º he /she is no longer able to perform his/
her duties due to physical or mental
disability approved by an authorized
medical doctor;

Article 10 : Motifs de cessation de la qualité de
membre du Conseil d‟Administration
Un membre du Conseil d‟Administration perd la
qualité de membre dans les cas suivants :
1º expiration du mandat ;
2º démission par notification écrite ;
3º incapacité physique ou mentale constatée
par un médecin agréé ;

of imprisonment equal to or exceeding six

6° it is evident that he/she no longer fulfils the
requirements considered at the time of his/ her
appointment on the Board of Directors;
7° he / she demonstrates behavior which is
incompatible with his/her responsibilities;
8° he / she jeopardizes the interests of the Centre;
9° he/she confesses and pleads guilty to the crime
of genocide;
10° he/she is characterized by genocide ideology;
11° he/ she dies.
Every appointment of any person as a member of
the Board of Directors and any termination of
office or resignation of a member shall be
published in the Official Gazette of the Republic
of Rwanda.
4º condamnation définitive à une peine

d‟Administration et toute révocation ou démission
du membre doit être publiée au Journal Officiel de
la République du Rwanda.

Directors
The Board of Directors shall have the following

3º to provide to the Minister in charge of
trade ideas which may be incorporated in
ministerial orders on:
a. organisation and functioning of the
arbitration;
b. requirements for arbitrators;
c. procedure and requirements for registration
of any document under this Law, including
the fees payable;
d. procedure to calculate arbitration fees;
e. guidelines and optional models or

staff as the Board of Directors may determine.

The Secretary General and the staff of the General
Secretariat shall be appointed on such terms and
conditions provided for by the internal rules and
regulations of the Centre.
The Secretary General shall be the Chief manager
of the Centre. He/she shall have the following
responsibilities:
1° to be the Rapporteur of the Board of
Directors;
2° to be the Chief budget manager of the
Centre;
3° to keep the records of the Centre;
4° to represent the Centre in legal matters;
5° to prepare the action plan and the draft
budget of the Centre;
6° to perform such other duties as may be
assigned to him/her by the Board of
Directors and which is within the mission
of the Centre.
The Secretary General shall attend all the meetings
of the Centre and the Board of Directors but with
no right to vote.
The Secretary General may delegate some of
his/her duties to other staff of the Secretariat,
subject to approval of the Board of Directors.
Le Secrétaire Général et le personnel du
Secrétariat sont nommés conformément au
règlement d‟ordre intérieur du Centre.
Le Secrétaire Général est le chef responsable du
Centre. Il est chargé de :
1° être le Rapporteur du Conseil

Article 13: Other supporting organs
Supporting organs to the management shall be:
1° the Committee of Arbitrators;
2° the Advisory Council.
Article 14: Committee of Arbitrators
The Board of Directors may from time to time set
up committees of arbitrators for domestic
arbitration and committees of arbitrators for
international arbitration. A person may be included
in more than one committee.
Domestic committee of arbitrators may be
appointed on matters relating to commerce,
insurance, administrative contracts on commerce
and finance entered into between public institutions
and the private sector operators, road traffic
accidents, constructions and such other fields as the
Centre may deem expedient.
International committee of arbitrators may be
appointed on matters relating to international trade,
international insurance, international investment
and construction, administrative contracts on

Article 14 : Collège des arbitres
Le Conseil d‟Administration peut, de temps en

Une personne peut prendre part à plus d‟un
collège.
Le collège des arbitres local, peut être désigné

financier et commercial passés entre les
institutions publiques et opérateurs du secteur
privé, accidents de la circulation routière,
construction et autres domaines jugés nécessaires
par le Centre.
Le collège des arbitres international, peut être
désigné pour les affaires relatives au commerce
international, à l‟assurance internationale, à
l‟investissement et constructions internationaux,

Inama y‟Ubuyobozi ishobora gukura umuntu uwo
ari we wese mu Nteko y‟Abakemurampaka
cyangwa mu Kanama Ngishwanama mu gihe icyo
ari cyo cyose ibona ko ari ngombwa. Umuntu
kandi ashobora igihe icyo ari cyo cyose kwegura,
international commerce and finance entered into
between public institutions and the private sector
operators and such other fields as the Centre may
deem expedient.
The committees set up under this Article shall be
composed of persons who, in the opinion of the
Centre, are qualified to carry out duties and
functions of arbitrators in a particular field of
expertise.
Article 15 : Advisory Committee
The Board of Directors shall establish an
International Arbitral Advisory Committee
responsible for advising the Centre on any matter
relating to international commercial arbitration and
advise the Centre on the selection of persons
competent to carry out the duties of arbitrators in
international commercial arbitrations.
Article 16: Removal and resignation from office
of members of the Committee of Arbitrators
and the Advisory Committee
The Centre may at any time, if it deems it
necessary, remove any person from the Committee
of Arbitrators or the Advisory Committee. Any

affaire relative à l‟arbitrage du commerce
international, et de conseiller le Centre dans la
sélection des personnes compétentes pour assumer
les fonctions d‟arbitre en matière de commerce
international.
Article 16 : Révocation et démission des
membres du Collège des arbitres et du Conseil
Consultatif
Le Centre peut à tout moment, s‟il le juge
nécessaire, démettre toute personne de ses
fonctions de membre du Collège des arbitres ou
du Conseil Consultatif. Un membre peut aussi

member at any time may also resign by tendering
his/her resignation letter to the Secretary General.
The removal or resignation of a person in
accordance with Paragraph One of this Article shall
not be deemed to include the removal or
resignation of that person from any arbitral
proceedings in which he/she may have been
appointed prior to his/her removal or resignation.
Article 17: Arbitration procedures
The Centre may, without prejudice the provisions
of this Law, with the agreement of parties and in
accordance with rules made by the Centre, employ
mediation, conciliation or other alternative dispute
resolution at any time before or during the
arbitration proceedings for the purposes of
encouraging settlement of disputes.
CHAPTER V: PROPERTY OF THE CENTRE
Article 18: Sources of the property of the Centre
The property of the Centre shall include:
1° contributions from regional and international
stakeholders;

le Centre peut, avec l‟accord des parties, et en
vertu de règlements émis par le Centre, faire
recours à la médiation, la conciliation ou autre
moyens alternatifs de résolution des conflits à
tout moment avant ou pendant la procédure
d‟arbitrage dans le but d‟encourager le règlement
de différends.
CHAPITRE V : PATRIMOINE DU CENTRE
Article 18 : Sources du patrimoine du Centre
Le patrimoine du Centre comprend :
1° les contributions des partenaires
régionaux et internationaux;

the Centre;

The funds and property of the Centre shall be used
for the promotion of its mission.
Article 19: Audit of the property of the Centre
The Centre shall properly keep books of accounts
and records of its transactions and ensure that the
money received is properly brought to account and
that all payments out of its money are correctly
made and properly authorized.
The annual accounts of the Centre shall be audited
by an auditor appointed by the Board of Directors.
The Board of Directors shall, within three (3)
months after the end of each financial year, submit
the financial and property management report of
the Centre to the auditor for auditing purposes.

Article 19 : Audit du patrimoine du Centre
Le Centre doit bien garder les livres comptables
et les pièces de ses transactions, et doit s‟assurer
que l‟argent reçu est versé au compte et que tous
les payements sont faits et autorisés correctement.
L‟audit des comptes annuels du Centre est
effectué par un auditeur désigné par le Conseil
d‟Administration.
Le Conseil d‟Administration soumet, dans un
délai ne dépassant pas trois (3) mois après la
clôture de chaque année financière, le rapport
financier et de gestion du patrimoine du Centre à

The auditor to whom the financial and property
management report of the Centre is submitted in
accordance with the provisions of Paragraph 3 of
this Article shall, within three (3) months of
submission of the report, do the following:
1° to audit finance and property of the Centre;
2° to transmit to the Board of Directors and
the Secretary General the finance and
property audit report of the Centre.
Article 20: Annual report
The Secretary General shall, no later than six (6)
months after the end of each financial year, prepare
an annual report in respect of that financial year.
Such report shall include the following:
1° the audited statement of finance and
property;
2° activity report of the Centre;
3° any other information the Board of
Directors may deem appropriate.
The annual report shall be submitted to the Board
of Directors.

L‟auditeur auquel le rapport financier et de
gestion du patrimoine du Centre est soumis
conformément aux dispositions de l‟alinéa 3 du
présent article doit, dans un délai de trois (3)
mois, faire ce qui suit:

patrimoine du Centre ;
2° soumettre au Conseil d‟Administration et
au Secrétaire Général le rapport d‟audit
des finances et du patrimoine du Centre.
Article 20 : Rapport Annuel
Le Secrétaire Général doit, dans un délai ne
dépassant pas six (6) mois après la clôture de
chaque exercice financier, préparer un rapport
annuel correspondant à cet exercice financier. Ce
rapport doit comprendre ce qui suit:
1° les états financiers et du patrimoine
audités;
2° le rapport d‟activités du Centre ;
3° toute autre information jugée nécessaire
par le Conseil d‟Administration.
Le rapport annuel doit être soumis au Conseil
d‟Administration.

This Law was drafted in English, considered and

Article 22: Repealing provision
All prior legal provisions contrary to this Law are
hereby repealed.
Article 23: Commencement
This Law shall come into force on the date of its
publication in the Official Gazette of the Republic
of Rwanda.
