MATERIALS TRANSFER AGREEMENT

between

[…] (“Q”)

and

[…] (“Recipient”)

In accepting from Q samples and data relating […].   ___________________________ (hereinafter called the Recipient), agree to the following terms:

 

  1. All restrictions and obligations of this Agreement relate to technical compounds and any written information provided to Recipient relating to the compounds (hereinafter "Materials"). Recipient undertakes to maintain all Materials received under this Agreement, as well as all results from the tests performed hereunder, confidential (hereinafter referred to "Confidential Information").

 

  1. The Materials will not be distributed or released to any person other than co‑workers working under the Recipient's direct supervision who agree to be bound by the terms of this Agreement, no one will be allowed to take or send the Material to any other location, nor use the Material for any other purpose than that contemplated by the xx Attached hereto as Exhibit A, unless written permission is obtained from Q.

 

  1. This Agreement and resulting transfer of the Material constitute a non-exclusive, non‑transferable right from Q to use the Material solely for research and evaluation, and not-for-profit purposes. The material will not be used in research that is subject to consulting or licensing obligations to another corporation or entity whether or not such obligations exist presently or are entered into in the future.

 

  1. The Recipient has ensured that the importation and subsequent use, maintenance and disposition of the Materials will be conducted in strict accordance with all appropriate local, national and international regulations.

 

  1. Q does not warrant that the use of the Materials does not infringe valid patents or is safe and without hazards. The Recipient and the Institution assume all risks in the use of the Material.

 

  1. Recipient agrees to assume complete responsibility for the management and conduct of the work under this Agreement. All liabilities for claims made for damage to property or machinery or for personal injury resulting from the conduct of this trial attributable to the negligent acts or omissions of the Recipient and the officers, employees and agents thereof shall be the responsibility of the Recipient with the exception that Q is responsible for any adverse effects resulting directly and solely from its Material.

 

  1. The Agreement constitutes the entire understanding of the parties relating to the subject matter hereof, and no amendment or modification to this Agreement shall be valid or binding upon the parties unless made in writing and signed by each party.
